A private enterprise is a type of enterprise owned by an individual who is fully responsible for all activities of the enterprise with all personal assets. This is one of the types of enterprises recognized and clearly regulated by Vietnamese law.
Like other types of enterprises, private enterprises must comply with strict legal conditions and regulations. Basic conditions include:
- Enterprise name: The name must not be the same or confusing with other enterprises. The name must include the type of enterprise and the proper name, which can be in Vietnamese, a foreign language or an abbreviation.
- Head office: Must have a clear address, used for contact and transactions of the enterprise.
- Business sector: The business sector must belong to the national economic sector system or be regulated by specialized laws, not on the list of prohibited sectors.
- Investment capital: Must ensure fixed capital for the business sector.
- Business entity: Individuals or organizations have the right to establish a private enterprise, but each individual is only allowed to establish one private enterprise.
Step 1: Prepare Documents
Documents for establishing a private enterprise include:
- Application for registration to establish a private enterprise.
- Notarized copies of personal documents of the business owner.
- Authorization letter (if any).
Step 2: Submit Registration Documents
Registration documents are submitted to the Business Registration Office under the Department of Planning and Investment of the province or city where the enterprise is headquartered, or online at the national information portal.
Step 3: Processing the Application
The Business Registration Office will receive and process the application within 3 working days. If the application is valid, the enterprise will receive a Certificate of Business Registration. If the application is incomplete or incorrect, the registration office will request additional information or corrections.
Step 4: Receive Results
The enterprise will receive the Certificate of Business Registration directly at the Business Registration Office or by post.
